Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Cousin Sam website at https://www.cousinsam.com and related services (collectively, the “Services”) provided by Cousin Sam Technologies, Inc. (“Cousin Sam,” “we,” “us,” or “our”). By creating an account or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business, in which case “you” refers to both you and the business.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. The Services

Cousin Sam provides (a) software tools that help construction general contractors identify, read, and evaluate public-sector procurement opportunities (federal, state, county, and local), and (b) flat-fee professional bid-preparation services (the “Pursuit” engagement) for construction general contractors pursuing public-sector work. Features may include opportunity monitoring, go/no-go scoring, RFP reading, requirement extraction, proposal-compliance checking, drafting assistance for clarifying questions, profile management, and related workflows. Specific features, pricing, and limitations are described on the Services or in your order.

Cousin Sam does not submit proposals or bids on your behalf. All artifacts produced by the Services are drafts intended for your review, modification, and final approval before submission to any government agency. You are solely responsible for the accuracy, completeness, compliance, and legality of any proposal, submission, or representation you make to a federal agency or any other party.

3. Plans, Fees, and Payment

Paid features are available under (a) the Contract-Ready Setup one-time fee, (b) the Monitor monthly subscription, and (c) the Pursuit retainer plus flat per-bid fee, all as described on the pricing page. All fees are flat-fee professional services or software fees. Fees are not contingent on contract award and Cousin Sam does not charge a percentage of any award or any success-based fee. This structure is intended to be compliant with FAR 52.203-5 and 31 USC 1352(d)(1)(B). Unless otherwise stated, fees are charged in U.S. dollars and are non-refundable except as required by law. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.

Payment processing is provided by Stripe and is subject to Stripe's terms. By providing payment information, you authorize us and our payment processor to charge the applicable fees and any taxes to your selected payment method.

We may change pricing prospectively. If we change recurring fees, we will provide reasonable advance notice. Continued use of the Services after the price change takes effect constitutes acceptance of the new price.

4. Acceptable Use

You agree not to:

  • Use the Services to violate any law, regulation, or third-party right
  • Misrepresent your identity, certifications, or eligibility for any government program
  • Attempt to access accounts, data, or systems you are not authorized to access
  • Reverse engineer, scrape, or interfere with the Services
  • Resell, sublicense, or white-label the Services without our written permission
  • Use the Services to develop a competing product or service
  • Upload malicious code or content that infringes intellectual property rights, defames, harasses, or violates privacy

We may suspend or terminate accounts that violate these rules.

5. Your Content and License

You retain all rights to the business information, profiles, documents, and other content you provide to the Services (“Customer Content”). You grant Cousin Sam a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Customer Content solely to provide and improve the Services for you.

You represent that you have the rights necessary to provide Customer Content to the Services and that Customer Content does not violate any law or third-party right.

6. Automated Output

The Services use automated systems to generate drafts, scores, summaries, and recommendations (“Automated Output”). All Automated Output is human-reviewed: a Cousin Sam reviewer checks each Pursuit deliverable before it is delivered to you. Even with that review, Automated Output is provided for your further review and is not guaranteed to be accurate, complete, compliant with any specific solicitation, or suitable for any particular purpose. You are responsible for reviewing, editing, and verifying all Automated Output before relying on or submitting it. Cousin Sam does not warrant that Automated Output will result in any specific outcome, including award of a contract.

7. No Legal, Financial, or Procurement Advice

Cousin Sam is a software tool. We are not a law firm, accounting firm, or licensed proposal consultancy, and the Services do not constitute legal, financial, tax, or professional procurement advice. For matters that require professional judgment, including FAR compliance interpretations, certifications, protests, and contract negotiations, consult a qualified professional.

8. Third-Party Services

The Services integrate with or rely on third-party services such as Stripe, Clerk, SendGrid, Vercel, SAM.gov, and model providers. We are not responsible for third-party services or their content, and your use of those services is governed by their terms.

9. Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, if required by law, or if continued provision of the Services becomes commercially unreasonable. Sections that by their nature should survive termination will survive.

10. Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are owned by Cousin Sam or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription. No other rights are granted by implication.

11. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. Cousin Sam does not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components, or that any defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, Cousin Sam and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with the Services. Our total liability for any claim arising out of or relating to the Services will not exceed the greater of one hundred U.S. dollars ($100) or the fees you paid Cousin Sam in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Cousin Sam from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your Customer Content, your use of the Services, your violation of these Terms, or your violation of any third-party right.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute arising out of or relating to these Terms or the Services is the state and federal courts located in Utah County, Utah, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
